By using, logging on to, or accessing services you are agreeing to these Terms of Use, which govern your use of our service.
Please note that you are giving up the right to litigate a dispute in court before a judge or jury.
YOU AND CINEE AGREE TO ARBITRATE IN EACH OF OUR INDIVIDUAL CAPACITIES ONLY, NOT AS A REPRESENTATIVE OR MEMBER OF A CLASS, AND EACH OF US EXPRESSLY WAIVES ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS. No arbitration or proceeding can be combined with another without the prior written consent of you, CINEE, and any other parties to the arbitration or proceedings.
You agree to the Arbitration Agreement and Class Action Waiver described in Section 7 to resolve any disputes with CINEE.
Your Cinee membership will continue and automatically renew until terminated. To use the Cinee service you must have Internet access and provide us with one or more Payment Methods. “Payment Method” means a current, valid, accepted method of payment, as may be updated from time to time and which may include payment through your account with a third party, Stripe API. You must cancel your membership before it renews in order to avoid billing of the membership fees for the next billing cycle to your Payment Method (see “Cancellation” below). Cinee membership will not automatically cancel for you.
When you register and join the Cinee Services, you become a Member. If you have chosen not to register for our Services, you may access certain features as a “Visitor.”
We may modify this Contract, and our Privacy Policy from time to time. If we make material changes to it, we will provide you notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. We agree that changes cannot be retroactive. If you object to any changes, you may close your account. Your continued use of our Services after we publish or send a notice about our changes to these terms means that you are consenting to the updated terms as of their effective date.
We may offer a number of membership plans, including memberships that offer free trial periods. Some membership plans may have differing conditions and limitations, which will be disclosed at your sign-up or in other communications made available to you. Please note that if you subscribe to a Service that is available through a third-party website or application, your access to and use of that Service will be subject to additional terms and limitations specific to that Service. Cinee is not liable for memberships and agreements through third parties. Cinee may offer free trials periodically; limitations will be explained on the Cinee website or app.
The membership fee for the Cinee service and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged to your Payment Method on the specific payment date indicated on the Cinee Service. The length of your billing cycle will depend on the type of subscription that you choose when you signed up for the service. Membership fees are fully earned upon payment. In some cases your payment date may change, for example if your Payment Method has not successfully settled, when you change your subscription plan or if your paid membership began on a day not contained in a given month. We may authorize your Payment Method in anticipation of membership or service-related charges through various methods, including authorizing it up to approximately twelve months of service as soon as you register.
To use the Cinee service you must provide one or more Payment Methods. You authorize us to charge any Payment Method associated with your account in case your primary Payment Method is declined or no longer available to us for payment of your subscription fee. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Check with your Payment Method service provider for details.
You can cancel your Cinee membership at any time, and you will continue to have access to the Cinee service through the end of your billing period.
We reserve the right to change our subscription plans or adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms of Use, any price changes or changes to your subscription plan will take effect following notice to you.
Payments are nonrefundable and there are no refunds or credits for partially used membership periods. Following any cancellation, however, you will continue to have access to the service through the end of your current billing period. At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all of our members (“credits”). The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion. The provision of credits in one instance does not entitle you to credits in the future for similar instances, nor does it obligate us to provide credits in the future, under any circumstance.

These are the limits of legal liability we may have to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, CINEE, INCLUDING ITS AFFILIATES, WILL NOT BE LIABLE IN CONNECTION WITH THIS CONTRACT FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, REPUTATION (E.G., OFFENSIVE OR DEFAMATORY STATEMENTS), LOSS OF DATA (E.G., DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT) OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES.

NOTHING IN THESE TERMS OF USE SHALL AFFECT ANY NON-WAIVABLE STATUTORY RIGHTS THAT APPLY TO YOU.

Cinee makes no representations that the services or any of its content are accessible or appropriate outside of the United States.
You and Cinee agree that any dispute, claim or controversy arising out of or relating in any way to the Cinee service, these Terms of Use and this Arbitration Agreement, shall be determined by binding arbitration. You agree that there will be no litigation for infringement of these terms. Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award and nothing in this Arbitration Agreement shall be interpreted as limiting any non-waivable statutory rights. You agree that, by agreeing to these Terms of Use, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Cinee are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of this Agreement and the termination of your Cinee membership.
PLEASE READ THIS CAREFULLY. WE WANT YOU TO KNOW HOW IT AFFECTS YOUR RIGHTS. If you have an issue with the Services, we encourage you to review our frequently asked questions or contact our customer service team through our website or App. In the event there is an issue that still requires attention, we want to make the resolution process as quick and efficient as possible. We also want to specify now what each of us should expect in order to avoid any confusion later. To that end, you and Cinee agree to first discuss any issue informally for at least 180 days before commencing an arbitration proceeding. To do that, please send your full name and contact information, your concern and your proposed solution by email to us at: info@cinee.io — Attn: Legal Department. If we would like to discuss an issue with you, we will contact you using the email address you provided when you registered for Cinee.
If we do not reach an agreed upon solution after our discussions for at least 90 days, you and Cinee agree that any and all claims, except disputes relating to the ownership or enforcement of intellectual property rights, that either of us may have, whether based on past, present, or future events, arising out of or relating to: (i) these Terms (including formation, performance, or breach of them, and including the scope and enforceability of this arbitration provision); (ii) the Privacy Policy, which is incorporated in these Terms; (iii) any aspect of our relationship with each other; and (iv) use of the Services, must be resolved through binding arbitration. Arbitration will be administered by an arbitration group of Cinee’s choosing.
For your convenience, arbitration may be conducted in-person, through the submission of documents, by phone, or online. Proceedings that cannot be conducted through the submission of documents, by phone, or online, will take place in a county of Cinee’s choosing. It is important that you understand that the arbitrator’s decision will be binding and final (except for a limited right of appeal under the U.S. Federal Arbitration Act) and may be entered as a judgment in any court of competent jurisdiction. Please note that nothing in this Section shall be construed as consent by Cinee to the jurisdiction of any other court with regard to disputes not covered by these Terms.
The party initiating the arbitration (either you or Cinee) is responsible for paying the filing fee. However, if the arbitrator issues you an award of damages and: (i) that award is greater than the amount of our last written settlement offer; or (ii) if we did not make a settlement offer, then in addition to only paying for half of arbitration, Case Management Fees, and all professional fees for the arbitrator’s services, we will NOT reimburse you for the filing fees you incurred.
If you’re not sure what all of this means, of course please feel free to ask an attorney. Specifying what happens if an issue arises with one of our users is never a fun topic. But we pride ourselves on transparency and we thank you in advance for understanding why it’s important that you and Cinee agree on the process described in this Section.
To help resolve any issues between us promptly, you and Cinee agree to bring any claim arising out of or relating to these Terms (including Cinee’s Privacy Policy), our relationship, or the use of the Services within 90 days after a claim arises; otherwise, the claim is waived. This limitation applies regardless of the venue in which such claim is or could otherwise be asserted.
These Terms of Use shall be governed by and construed in accordance with the laws of the state of California, U.S.A. without regard to conflict of laws provisions. These terms will not limit any consumer protection rights that you may be entitled to under the mandatory laws of your state of residence.
Here are some important details about the Contract. If a court with authority over this Contract finds any part of it unenforceable, you and we agree that the court should modify the terms to make that part enforceable while still achieving its intent. This Contract (including additional terms that may be provided by us when you engage with a feature of the Services) is the only agreement between us regarding the Services and supersedes all prior agreements for the Services.

Cinee is free to use any comments, information, ideas, concepts, reviews, or techniques or any other material contained in any communication you may send to us (“Feedback”), including responses to questionnaires or through postings to the Cinee service, including our websites and user interfaces, worldwide and in perpetuity without further compensation, acknowledgement or payment to you for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products and creating, modifying or improving the Cinee service. In addition, you agree not to enforce any “moral rights” in and to the Feedback, to the extent permitted by applicable law.
